Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between your school or institution ("School", "you") and PAIRLMS Technologies Pvt. Ltd. ("PAIRLMS", "we", "us") governing your access to and use of the PAIRLMS school management platform.

By subscribing to or using the Platform, you confirm that you have the authority to bind your institution to these Terms and that the school agrees to comply with all applicable Indian laws, including the IT Act 2000 and the DPDP Act 2023.

License to Use the Platform

Subject to these Terms and payment of applicable subscription fees, PAIRLMS grants your school a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for the school's internal educational management purposes.

You May Not:

• Sub-license, sell, resell, or transfer access to the Platform to any third party
• Reverse engineer, decompile, or attempt to extract the source code
• Use the Platform to build a competing product or service
• Access the Platform through unauthorised automated means (scraping, bots)
• Upload malicious code, viruses, or any content that disrupts Platform operation

Your Responsibilities

• Ensure all users (teachers, administrators, parents) are authorised and informed about Platform use
• Obtain all necessary consents from parents and guardians before uploading student data, as required under DPDP Act 2023
• Maintain the confidentiality of all login credentials and notify us immediately of any unauthorised access
• Ensure the accuracy and lawfulness of all data uploaded to the Platform
• Comply with all applicable laws, including the Right of Children to Free and Compulsory Education Act, 2009
• Designate an authorised school administrator who is responsible for Platform governance

Subscription Fees & Billing

Subscription fees are billed annually or as per the agreed plan on the signed Order Form. All fees are in Indian Rupees (INR) and are exclusive of applicable GST.

• Invoices are raised at the beginning of each billing cycle and are due within 30 days
• Late payments attract interest at 1.5% per month on the outstanding amount
• PAIRLMS reserves the right to suspend access for accounts with overdue invoices exceeding 45 days
• Fee revisions will be communicated with a minimum of 60 days notice before the renewal date

Intellectual Property Rights

The PAIRLMS Platform, including its software, design, content, trademarks, and documentation, is owned by PAIRLMS Technologies Pvt. Ltd. and is protected under Indian copyright law and international intellectual property treaties.

Your school retains ownership of all data uploaded to the Platform (student records, reports, etc.). PAIRLMS claims no ownership over your school's data. Upon termination, PAIRLMS will provide a data export and then permanently delete your data per the agreed schedule.

Service Level Agreement

• Uptime Commitment: 99.5% monthly uptime, excluding scheduled maintenance windows
• Scheduled Maintenance: Notified at least 48 hours in advance; typically conducted between 1 AM – 4 AM IST on weekends
• Support Response: Critical issues — 2 hours; High priority — 8 hours; Normal — 2 business days
• Data Backup: Daily automated backups retained for 30 days

Termination of Service

Either party may terminate these Terms with 30 days written notice before the subscription renewal date. PAIRLMS may terminate immediately upon material breach, non-payment exceeding 60 days, or fraudulent use.

Upon termination, the school may export all data within 30 days. After this period, data will be permanently deleted from our systems.

Limitation of Liability

To the maximum extent permitted by applicable Indian law, PAIRLMS's total liability for any claims arising from or related to these Terms shall not exceed the subscription fees paid by the school in the preceding 12 months.

PAIRLMS shall not be liable for indirect, incidental, special, or consequential damages, including loss of data (beyond our backup policy), loss of profits, or reputational harm.
